- Has been Vice President and General Counsel of Octagon Holdings, LLC since 2001. Octagon Holdings is an investment company specializing in the acquisition of companies in financial distress. From 1991 to 2001, served as Corporate Tax Counsel and Director of Tax Audits at Tenneco Inc. At Tenneco, also represented and assisted the company in numerous financial transactions and reorganizations. These transactions included the 1994 IPO of Case Corporation, which raised $4.4 billion and created $7 billion of additional value for shareholders and the 1995 IPO of Albright & Wilson, which raised $820 million. Represented Tenneco in its 1996 merger of its pipeline and energy division with El Paso Energy as well as the spin-off of Newport News (creating $6 billion of additional value for Tenneco shareholders.) In 1999, represented Tenneco in its sale of its containerboard operations for $2 billion and in the spin-off of Pactiv Corporation. From 1981 to 1991, was employed as a Senior Manager for Ernst & Young in their New Orleans office. Has been President and a Director of Real New Orleans, Inc. and a Founding Partner of Franck & Associates. A certified public accountant and holds a Masters of Business Administration degree from Loyola University Graduate School of Business (1981) and also holds a Law Degree from Loyola University Law School (1981) and a Bachelor of Business Administration degree from Loyola University (1979).
