- There have generally been two camps of investors who have avoided 144A bonds. One is bound by law and the other by languor. The former includes those failing to meet the QIB test. The SEC sets parameters for recognition as a QIB, primarily control over at least $100 million in investable assets. This figure has represented a threshold of expertise and an incentive to research the merit of the investment. The latter class includes those investors unfamiliar or unwilling to investigate the benefits of the 144A structure. Many have investment guidelines or policy statements constraining the purchase of so called ‘private placements’. It is imperative that these parties revisit guidelines that are clearly antiquated. Leaving behind valuable basis points without any commensurate increase in credit protection or market risk in today’s financial environment is difficult to justify.
